Terms of Service

Who these terms are between

These terms are an agreement between Anima Mundi Mafia LLC ("we", "us") and the business that signs up for Closeout Pulse ("you"). Closeout Pulse is the software at app.closeoutcall.co. Closeout Pulse is owned by Anima Mundi Mafia LLC.

If you accept these terms for a company, you confirm you have authority to bind it. By starting a pilot or using the service, you agree to these terms and to our Privacy Policy.

The pilot and billing

• Pilot. Your first 30 days are free. We don't ask for a card to start.
• Plans. After the pilot, it's $149 a month for a single location or $399 a month for multi-location accounts.
• Month to month. There is no long-term contract. Each month renews until you cancel.
• Paying. To keep using Pulse after the pilot, you add a payment method. Anima Mundi Mafia LLC collects those fees. Payments are processed by a third-party processor. We don't store your card number.
• Taxes. Prices don't include taxes. You pay any sales tax that applies. We are not giving a state-by-state tax opinion on this page.
• Price changes. We will email you before a price change applies, and it will not apply to a month you have already started.
• Late payment. If a payment fails, we will email you. If it stays failed, we may pause the account until it is fixed.

Cancelling

You can cancel at any time. If you don't continue after the pilot, you owe nothing. If you cancel a paid plan, it runs to the end of the month you've paid for. We don't give refunds for partial months.

After you cancel, you can ask us for an export of your data. We delete it as our Privacy Policy describes.

No guarantee of results

Pulse helps you see where sales slip away. It does not guarantee more booked appointments, more closed jobs or more revenue.

• Its figures are estimates built from your own data. They are only as good as that data.
• Where a figure depends on an assumption, the assumption is labelled.
• Small samples can mislead. Pulse tells you when there isn't enough data.
• You decide what to do with its findings, including decisions about your staff.

Your responsibilities

• Your data. You must have the right to upload everything you upload. If it includes information about homeowners or other people, you are responsible for collecting it lawfully and for giving any notices the law requires.
• Contacting customers. We never contact your customers. If you follow up with them by phone or text, you are responsible for following calling and texting laws, such as the Telephone Consumer Protection Act and do-not-call rules.
• Your team. You decide who on your team gets access and what role they have. Keep sign-ins private. You're responsible for what happens under your account.
• Accurate details. Keep your account and billing details up to date.

Acceptable use

Don't use Closeout Pulse to:

• break any law, or upload data you have no right to use;
• try to reach another company's data, or get around our security;
• overload, disrupt or reverse-engineer the service;
• upload malware or anything harmful;
• resell or give access to people outside your business without our written permission;
• upload government ID numbers, full card or bank account numbers, or health records. Pulse doesn't need them.

Who owns what

• Your data is yours. You own the data you upload. You give us permission to use it only to provide the service to you, as our Privacy Policy describes.
• The software is ours. Anima Mundi Mafia LLC owns Closeout Pulse, including its code, design and content. You get a limited, non-exclusive, non-transferable right to use it for your business while your account is active.
• Feedback. If you send us suggestions, we can use them without owing you anything.

We do not take permission to combine your pipeline with other customers' data. The Privacy Policy says we do not build benchmarks from it.

Availability

We work to keep Pulse running and your data safe, but we can't promise it will always be available or error-free. The service is provided "as is" and "as available". To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement.

We may change or improve features. If we remove something important you're paying for, we will tell you first.

Limitation of liability

To the extent the law allows:

• Our total liability for any claim about the service is capped at the fees you paid us. During a free pilot, that is $0.
• We are not liable for indirect or consequential losses, such as lost profits, lost jobs or lost data you could have kept a copy of.

These terms do not add an indemnity clause. If a law does not allow a limit above, that limit does not apply to the extent the law forbids it.

Termination

You can stop using Pulse and cancel at any time. We may suspend or close your account if you break these terms, don't pay, or put the service or other customers at risk. Where we reasonably can, we will warn you first and give you time to fix it. If we stop offering Pulse altogether, we will email you before we do and give you time to export your data.

The sections on ownership, no guarantee of results, availability and limitation of liability still apply after the agreement ends.

Changes to these terms

We may update these terms. We will post the new version here and change the date at the top. For a significant change, we will email account owners before it takes effect. If you keep using Pulse after that, the new terms apply. If you don't agree, you can cancel.

Governing law

We have not named a governing state on this page, and these terms do not add an arbitration clause. Closeout Pulse is owned by Anima Mundi Mafia LLC. A dispute that has to go to court will be heard by a court that can hear a claim against Anima Mundi Mafia LLC.
